Agreement
These Terms of Service ("Terms") govern your access to and use of cicerogroup.ca and any related sites, applications, or services offered by Cicero Group Canada Software ("Cicero", "we", "us", or "our"). By accessing or using our sites, you agree to be bound by these Terms.
Individual products operated by Cicero (including JobAds.ca) may have additional product-specific terms that apply alongside these Terms. In the event of a conflict, product-specific terms control for that product.
Use of the Services
You may use our Services only in compliance with these Terms and all applicable laws. You agree not to:
- Use the Services for any illegal or unauthorized purpose;
- Interfere with, disrupt, or overload the Services or the servers or networks connected to them;
- Attempt to gain unauthorized access to the Services, other user accounts, or any part of our systems;
- Introduce malware or harmful code into the Services;
- Reverse-engineer, decompile, or attempt to extract source code from the Services except to the extent expressly permitted by law;
- Scrape, crawl, or otherwise collect data from the Services except through documented interfaces and within reasonable limits.
Accounts
Certain features of our products require you to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to provide accurate information when creating an account and to keep that information current.
Intellectual property
All content on our sites, including text, graphics, logos, and software, is the property of Cicero or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. The Cicero name, the Cicero logo, and product names (including JobAds.ca) are trademarks of Cicero Group Canada Software. You may not use any of these marks without prior written permission.
Nothing on our sites grants you any license or right to use any Cicero trademark or copyrighted work without our prior written consent.
Third-party trademarks
Names, logos, and marks belonging to third parties that appear on our sites are the property of their respective owners. Their appearance does not imply any endorsement, sponsorship, or partnership unless explicitly stated.
User content
If our Services allow you to submit content (for example, posting a job listing on JobAds.ca), you retain ownership of that content but grant Cicero a non-exclusive, royalty-free, worldwide license to host, display, and distribute that content solely as necessary to operate the Services. You represent that you have the rights necessary to grant this license and that your content does not violate any law or third-party rights.
Third-party services
Our Services may link to or integrate with third-party services. We are not responsible for the content, policies, or practices of any third-party service. Your use of a third-party service is governed by that service’s own terms.
Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Cicero does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
Limitation of liability
To the fullest extent permitted by law, Cicero and its directors, officers, employees, affiliates, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services.
Our total liability for any claim arising out of or related to the Services shall not exceed the greater of (a) the amounts you paid to us for the applicable product in the twelve months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).
Indemnification
You agree to indemnify and hold harmless Cicero and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your content, or your violation of these Terms.
Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if we discontinue a product. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and indemnification) will survive.
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through our Services or by other reasonable means. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
Governing law
These Terms and your use of the Services are governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Saskatchewan.
